MCA Extends Due Date for Form DIR 3 KYC of Directors (Web): FY 2018-19

MCA extends last date for filing of Form DIR-3 KYC (including DIR 3 KYC Web) in respect of Financial Year (FY) 2018-19 from 30/09/2019 to 14/10/2019 vide Notification dt. 30/09/2019 on the Companies (Appointment and Qualification of Directors) Fourth Amendment Rules, 2019/ Companies (Registration Offices and Fees) Fifth Amendment Rules, 2019.

G.S.R. (E). In exercise of the powers conferred by the second proviso to sub-section (1), sub-section (4) and clause (f) of sub-section (6) of section 149, sub-sections (3) and (4) of section 150, section 151, sub-section (5) of section 152, section 153, section 154, section 157, section 160, sub-section (1) of section 168 and section 170 read with section 459 of the Companies Act, 2013 (18 of 2013), the Central Government hereby makes the following rules further to amend the Companies (Appointment and Qualification of Directors) Rules, 2014, namely: –

1. (1) These rules may be called the Companies (Appointment and Qualification of Directors) Fourth Amendment Rules, 2019.

(2) They shall come into force on the date of their publication in the Official Gazette.

2 In the Companies (Appointment and Qualification of Directors) Rules, 2014, in rule 12A, after the fourth proviso, the following Note shall be inserted, namely:-

Note: For the financial year ending on 31/03/2019, the individual shall submit e-form DIR-3 KYC or web form DIR-3 KYC-WEB, as the case may be, on or before 14/10/2019.

G.S.R. (E).- In exercise of the powers conferred by sections 396, 398, 399, 403 and 404 read with sub-sections (1) and (2) of section 469 of the Companies Act, 2013 [18 of 2013), the Central Government hereby makes the following rules further to amend the Companies (Registration Offices and Fees) Rules, 2014, namely:-

1. (1) These rules may be called the Companies (Registration Offices and Fees) Fifth Amendment Rules, 2019.

(2) They shall come into force on the date of their publication in the Official Gazette.

2. In the Companies (Registration Offices and Fees) Rules, 2014, in the Annexure, in item VII relating to FEE FOR FILING e-Form DIR-3 KYC or DIR-3 KYC-WEB under rule 12A of the Companies (Appointment and Qualification of Directors) Rules, 2014, after sub- item no.(i), the following Note shall be inserted, namely:-

Note: For the financial year ended on 31st March, 2019, no fee shall be payable in respect of e-form DIR-3 KYC or DIR-3 KYC-WEB through web service till 14th October, 2019.

Form DIR 3 KYC Annual Filing Due Date Extended from 30/04/2019 to 30/06/2019

MCA has notified that the Deadline for Annual Filing of Form DIR 3 (KYC of Directors) has been Extended from 30 April to 30 June, of the immediately next financial year, i.e. due date of filing for Financial Year 2018-19 has been extended from 30/04/2019 to 30/06/2019.

DIR 3 KYC Last Date Extended upto 05/10/2018

In view of above amendments in companies rules, now directors KYC compliance can be completed by 05/10/2018 with reduced late fee of Rs. 500 and thereafter the normal late fee of Rs. 5000 shall be applicable, as notified earlier. Hopefully the MCA system will work properly during this period and professionals will also complete the requisite exercise well in time to avoid the peak rush in last days which has the possibility of crashing of any website.

MCA notifies the ‘Companies (Appointment and Qualification of Directors) Sixth Amendment Rules, 2018‘ to extend last date for filing of Form DIR 3 (KYC of Directors) upto 05/10/2018. Further, MCA notifies ‘Companies (Registration Offices and Fees) Fifth Amendment Rules, 2018 to reduce late fee to Rs. 500 upto 05/10/2018 after which Rs. 5000 shall be payable.

DIR 3 KYC Last Date Extended upto 15/09/2018

MCA extends last date for filing of Form DIR 3 (KYC of Directors) from 31/08/2018 to 15/09/2018 after which late fee of Rs. 5000 shall be payable, without any late filing fee, i.e. Late Fee or Penalty of Rs. 5,000 applicable only where e-form DIR-3 KYC is filed on or after 16/09/2018 in respect of FY 2017-18. Also MCA has amended/ revised the e-Form DIR-3 KYC. Relevant MCA Notifications wherein DIR-3 KYC last date is extended or e-form DIR-3 KYC is amended, are as under:

MCA to Extend Due Date for e form DIR 3 KYC and to Amend relevant Rules

In view of difficulties being faced by stakeholders, the MCA has clarified, vide General Circular 07/2019 dt. 27/06/2019, that rules and due date for filing filing e-form DIR-3 KYC, are under amendment/ extension and will be notified shortly. MCA has proposed to simply the directors KYC verification process, whereby the persons who have already filed DIR-3 KYC will be required to complete their KYC through a simple web-based verification service only, with pre-filled data based on the records in the registry, for ease of the person concerned.

MCA General Circular 07/2019 dt. 27/06/2019

1. The Ministry of Corporate Affairs has received representations from stakeholders expressing certain difficulties in filing e-form DIR-3 KYC in accordance with Rule 12A of the Companies (Appointment and Qualification of Directors) Rules, 2014. Requests have also been made for extension of period for filing such form.

2. The matter has been examined and it is hereby informed that it is being proposed that every person who has already filed DIR-3 KYC will only be required to complete his/her KYC through a simple web-based verification service, with pre-filled data based on the records in the registry, for ease of verification by the person concerned. However, in case a person wishes to update his mobile no. or e-mail address, he would be required to file e-form DIR-3 KYC, as this facility of updation is not being proposed in the web-based service. In case of updation in any other personal detail, e-form DIR-6 may be filed for updation of the same before completion of KYC through the web-based service.

3. The amendment in the relevant rules including the amendment related to extension of time (allowing for adequate time) for completion of KYC through e-form DIR-3 KYC or the web-based service, as the case may be, is being notified shortly. Stakeholders are advised to take note of the same and file according to the revised notification.
